These Terms of Service govern your use of Cornucopia Local’s marketplace website and related services. Please read them carefully.
These Terms of Service (“Terms”) govern your access to and use of Cornucopia Local (“Cornucopia,” “we,” “us,” or “our”), including our website, apps, and related services (collectively, the “Services”).
By creating an account or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use Cornucopia.
Cornucopia is a platform that connects local producers (sellers) with buyers. We facilitate discovery, ordering, and payments, but we are not the seller of products listed by producers unless we expressly state otherwise.
Producers are responsible for their listings, product quality, fulfillment, and compliance with applicable food, agriculture, labeling, tax, and business laws. Buyers are responsible for reviewing product details, pickup or delivery instructions, and communicating with producers as needed.
You must be at least 18 years old (or the age of majority in your jurisdiction) to create an account and use the Services. You agree to provide accurate information and keep it up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or pose a risk to the platform or other users.
Depending on your account setup, you may act as a buyer, a producer, or both. Mode switching and profile features are provided for convenience; each role remains subject to these Terms.
Orders form a contract between the buyer and the producer. Prices, availability, pickup/delivery windows, and product descriptions are set by producers and may change.
Payments are processed by Stripe. By submitting a payment method, you authorize charges for orders and applicable fees, taxes, and shipping or delivery charges as disclosed at checkout. Producers may be subject to platform fees and Stripe processing fees as communicated in the dashboard or checkout flow.
Refunds, cancellations, and disputes should first be resolved between buyer and producer. Cornucopia may, at our discretion, assist with mediation or process refunds through our payment provider when appropriate, but we are not obligated to resolve every dispute.
You agree not to misuse the Services. Prohibited conduct includes, without limitation:
You retain ownership of content you submit (such as photos, descriptions, and farm information), and you grant Cornucopia a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute that content as needed to operate and promote the Services.
Cornucopia’s name, logos, software, and branding are our property. You may not use them without prior written permission, except as needed to identify yourself as a Cornucopia user in ordinary commerce.
The Services may integrate third-party tools such as Stripe, maps, analytics, and email providers. Your use of those services may be subject to their own terms and privacy policies. Cornucopia is not responsible for third-party services we do not control.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORNUCOPIA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee uninterrupted or error-free operation, that listings are accurate, or that products will meet your expectations. Product quality and fulfillment are the responsibility of the selling producer.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORNUCOPIA AND ITS AFFILIATES, OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CORNUCOPIA IN PLATFORM FEES IN THE TWELVE MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
You agree to indemnify and hold harmless Cornucopia and its affiliates from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, your products or fulfillment, or your violation of these Terms or applicable law.
You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or if we discontinue the Services. Provisions that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and indemnity) will survive.
We may update these Terms from time to time. We will post the revised Terms on this page and update the “Last updated” date. Material changes may also be communicated by email or in-product notice. Continued use after changes become effective constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the United States and the state in which Cornucopia Local principally operates, without regard to conflict-of-law principles. Courts in that jurisdiction will have exclusive venue for disputes that are not resolved informally, except where prohibited by law.
